Change of Ownership and Assignment Notification Requirements

Reminder of Provider Obligations under Your Participating Provider Agreement

This bulletin serves as a reminder of providers’ obligations under their Participating Provider Agreement (PPA 2.0) to provide advance written notice to Sunflower Health Plan of transactions that may result in an assignment of the agreement or a change in ownership or control of the provider.

Advance Written Notice Required

Providers are required to notify Sunflower Health Plan no less than thirty-five (35) calendar days  in advance of the effective date of any transaction that may directly or indirectly result in an assignment of the agreement or a change in ownership or control. Notice must be provided as soon as the transaction is contemplated and before it is finalized or effective.

Transactions Requiring Notification

Transactions requiring health plan notification and review include, but are not limited to:

  • Transfer of Ownership / Assignment – the contracted legal entity will change.
  • Change of Ownership or Control – ownership or control of the existing legal entity changes, but the entity remains the same.

Common Scenarios That Require Notification

  • Sale of equity or stock (including private equity or investor transactions)
  • Mergers or consolidations with another entity
  • Asset purchases or transfers involving the provider’s business or operations
  • Changes to controlling interest, managing owners, or voting control
  • Transactions resulting in a TIN change or new legal entity
  • Internal restructurings where ownership or control changes, even if branding remains the same

No Automatic Approval

Under PPA 2.0, assignments and ownership changes are not effective unless and until expressly approved in writing by Sunflower Health Plan. The agreement may not be assigned, by operation of law or otherwise, without prior written consent.

Documentation Requirements

Providers must submit all information reasonably requested by the health plan, including ownership disclosures, transaction documentation, and execution of applicable consent or amendment agreements.

Failure to Notify

Failure to provide timely and complete notice may result in delays to claims payment, suspension of participation pending review, or other remedies available under the agreement.

How to Submit Notice

Notifications should be submitted to your Contracting or Provider Relations representative, or through the designated provider portal. Providers are encouraged to contact Sunflower Health Plan before proceeding if there is any uncertainty.
